Dismissal of shareholder's appeal in the case for annulment of theresolution of the Ordinary General Meeting of June 6, 2014

In connection with the current report no. 44/2014 dated September 17,2014 on petition for annulment of the resolution no. 4 of the OrdinaryGeneral Meeting of June 6, 2014 and current report no. 19/2015 datedAugust 13, 2015 on the verdict of the Regional Court in Warsaw of August13, 2015 on dismissal of shareholder's claim for annulment of theresolution no. 4 of the Ordinary General Meeting of June 6, 2014, theManagement Board of PGE Polska Grupa Energetyczna S.A. discloses that onMarch 2, 2017 the Court of Appeal in Warsaw dismissed the shareholder'sappeal against the above verdict of the Regional Court in Warsaw odAugust 13, 2015. The verdict of the Court of Appeal is final and binding.

Legal ground: § 38 section 1 p. 10 of the Regulation of the Minister ofFinance dated February 19, 2009 on current and periodic informationpublished by issuers of securities and on conditions under which suchinformation may be recognized as being equivalent to informationrequired by the regulations of law of a state which is not a memberstate.
