Appointment of the Supervisory Board member

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the"Company") discloses that on January 14, 2021 the Company received astatement in which the Minister of State Assets (representative of theState Treasury) appoints Mr. Marcin Kowalczyk as a member of theSupervisory Board of the Company as of January 14, 2021. The statementwas submitted pursuant to § 20 section 5 of the Company's Statutes, thatentitles the State Treasury to appoint and dismiss one member of theSupervisory Board by way of a written declaration submitted to theManagement Board of the Company.

Mr. Marcin Kowalczyk is a graduate of the Faculty of Law andAdministration at the University of Warmia and Mazury in Olsztyn. Hecompleted post-graduate studies at the National Defense University inWarsaw. He holds an MBA from the Warsaw Management University. Hestarted his professional career as an assistant in the political officeof the Minister of National Defense and a representative for theprotection of classified information in the Chancellery of the Presidentof the Republic of Poland. He was also the deputy president of theMilitary Property Agency and sat on the Supervisory Board of theMilitary Property Agency. He worked in a managerial position at PGEEnergia Odnawialna S.A. In 2018-2020 he was the vice-president ofWojskowe Przedsiębiorstwo Handlowe Sp. z o.o. From May 2020, he has beenassociated with PGE Dystrybucja S.A., first as the Vice-President of theManagement Board, and from September 2020 as the President of theManagement Board. Currently, he is the Head of the Political Cabinet ofthe Minister of State Assets.

Mr. Marcin Kowalczyk has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.

Mr. Marcin Kowalczyk has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2019,item 1500 as amended).
