Appointment of the Vice-President for Regulatory Affairs

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company", "PGE") discloses that on August 18, 2020 the SupervisoryBoard of PGE adopted resolution on appointment of Ms. Wanda Buk to theManagement Board of the eleventh term of office as from September 1,2020 and entrusting her the position of the Vice-President forRegulatory Affairs.

Ms. Wanda Buk holds the title of attorney, she graduated from theFaculty of Law and Administration at the University of Łódź, as well asthe Faculty of French Business Law at the Université de Poitiers inFrance. She also graduated International Military Relations at the WarStudies Academy, European Academy of Diplomacy, postgraduate studies atthe Warsaw School of Economics and the prestigious Leadership Academyfor Poland programme organised by the Center for Leadership incooperation with Harvard University. She started doctoral studies at theWar Studies Academy.

Ms. Wanda Buk has held position of the Undersecretary of State at theMinistry of Digital Affairs since July 2018. She has been managingTelecommunications Department, Legal Department, International PolicyDepartment and Office of the Minister (in the scope of matters resultingfrom the reporting relationship of the Digital Poland Projects Centrewith the Minister). At the same time she has been a member of theCommittee for European Union, the Standing Committee of the Council ofMinisters and the Joint Central Government and Local GovernmentCommittee.

From January 2016, Wanda Buk was the director of the Digital PolandProject Centre. She managed the institution responsible forimplementation of European funds earmarked for the digitisation of thecountry. She was responsible for the implementation of EU-fundedprojects with a total value of PLN 10 billion, including: building ITand telecommunications infrastructure providing access to fastbroadband, development of high availability and quality electronicservices, digitisation in public administration and culture, buildingdigital skills on a national scale with particular emphasis on coding,as well as promoting basic computer science knowledge in various socialgroups.

She worked in a number of law firms, where she implementedinfrastructure projects, including ones financed from public funds. Shealso advised entities operating on the regulated market. She was amember of Supervisory Boards in companies such as Nask 4 Innovation sp.z o.o., NUW sp. z o.o. and Mana Solid Invest sp. z o.o.

Ms. Wanda Buk is fluent in English and French.

Ms. Wanda Buk has stated that her activities outside PGE are notcompetitive in relation to activities of the Company and that she is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andshe is not participating in other competitive legal person as a memberof its body.

Ms. Wanda Buk has also stated that she is not registered in Register ofInsolvent Debtors, being kept on the ground of Act on National CourtRegister dated August 20, 1997 (Dziennik Ustaw of 2019, item 1500 asamended).
