Changes in the Supervisory Board of PGE Polska Grupa Energetyczna S.A.

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company") disloses that the Extraordinary General Meeting of theCompany of November 14, 2018 dismissed Mr Artur Bartoszewicz from theSupervisory Board of the Company. At the same time, Mr. RadosławWiniarski was appointed to the Supervisory Board as from November 14,2018

Mr. Radosław Winiarski graduated from Faculty of Management at theUniversity of Warsaw. Since 2001 he has been working as a researcher atthe above faculty in the Department of Economy's Financial Systems,within the Unit of Banking and Financial Markets. In 2007 he earned PhDin Economics, at his alma mater - in the field on management.

Since 2016 he has worked at the Ministry of Energy as a Head of theSection within the Department of Supervision and Ownership Policy. Inyears 2007-2016 he was employed in the Ministry of State Treasury. SinceSeptember 2017 Mr. Radosław Winiarski has been a member of supervisoryboard of Lotos Upstream sp. z o.o. Previously he used to be a member ofsupervisory boards of inter alia: Enea S.A., H. Cegielski S.A. and PolfaTarchomin S.A.

Mr. Radosław Winiarski has stated that his activities outside PGE arenot competitive in relation to activities of the Company and that he isnot participating in a competitive company as a partner in apartnership, in a civil partnership or as a member of body of a capitalassociation, and he is not participating in other competitive legalperson as a member of its body.

Mr. Radosław Winiarski has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).
