Changes in the Management Board and Supervisory Board

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company", "PGE") discloses that on February 25, 2016 the SupervisoryBoard adopted resolution on cancellation of delegation of Mr. MarekPastuszko, a Supervisory Board member, to temporarily perform the dutiesof the Member of the Management Board - Vice-President for CorporateAffairs, which the Company disclosed in current report no. 3/2016 ofJanuary 29, 2016.

Furthermore, the Management Board of the Company discloses that Mr.Marek Pastuszko then submitted his resignation from the SupervisoryBoard and the Supervisory Board appointed Mr. Marek Pastuszko as amember of the PGE's Management Board of the ninth term of office andentrusting him the position of the Vice-President for Corporate Affairs.

Mr. Marek Pastuszko has stated that he is not engaged in any activitiescompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.

Mr. Marek Pastuszko has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).
