Appointment of the Supervisory Board member
The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the"Company") discloses that on March 1, 2016 the Company receivedstatement in which the Minister of State Treasury appointed Mr. PawełŚliwa as a member of Supervisory Board of the Company as of March 1,2016. The statement was submitted pursuant to § 20 section 5 of theCompany's Statutes, that entitles the State Treasury to appoint anddismiss one member of the Supervisory Board by way of a writtendeclaration submitted to the Management Board of the Company.
Mr. Paweł Śliwa graduated from Law and Administration Faculty at theMaria Curie-Skłodowska University in Lublin, branch in Rzeszów. Hecompleted PhD studies on Stefan Karol Wyszyński University in Warsaw.Completed attorney apprenticeship in Regional Bar Council in Rzeszów.
Since 2002 Mr. Paweł Śliwa has run a Law Firm in Gorlice. Since November2011 a judge at the Court of State. Since October 2010 a councilor inlegislative assembly of Małopolskie voivodship. In years 2005-2012 run aSolicitor's Partnership in Gorlice. In years 2006-2007 he held theposition of Vice-Chairman of the Supervisory Board of Ruch S.A.
Mr. Paweł Śliwa has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.
Mr. Paweł Śliwa has also stated that he is not registered in Register ofInsolvent Debtors, being kept on the ground of Act on National CourtRegister dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item1186 as amended).
Legal ground: § 5 section 1 p. 22 and § 28 of the Regulation of thePolish Minister of Finance of February 19, 2009 on current and periodicinformation published by issuers of securities and on conditions underwhich such information may be recognized as being equivalent toinformation required by the regulations of law of a state which is not amember state.
