Dismissal and appointment of the Supervisory Board members

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE","Company") discloses that on March 1, 2016 the Extraordinary GeneralMeeting of the Company adopted resolutions on:

- dismissal of Mr. Jacek Barylski from the Supervisory Board,

- dismissal of Ms. Małgorzata Molas from the Supervisory Board,

- dismissal of Mr. Jarosław Gołębiewski from the Supervisory Board,

- dismissal of Mr. Jacek Fotek from the Supervisory Board,

- dismissal of Mr. Marek Ściążko from the Supervisory Board,

- appointment of Ms. Janina Goss to the Supervisory Board,

- appointment of Mr. Mieczysław Sawaryn to the Supervisory Board,

- appointment of Mr. Mateusz Gramza to the Supervisory Board,

- appointment of Mr. Grzegorz Kuczyński to the Supervisory Board,

- appointment of Mr. Jarosław Głowacki to the Supervisory Board,

- appointment of Mr. Artur Składanek to the Supervisory Board.

Ms. Janina Goss is a graduate of Law Faculty at the University of Łódź.A legal counsel.

Since 2012 Ms. Janina Goss has held a position of Management Boardmember in Srebrna Sp. z o.o. In years 2009-2010 she was a SupervisoryBoard member in Polskie Radio S.A. In years 2006-2009 she was aSupervisory Board member in TVP S.A., including approx. 2 years at theposition of the Chairman of the Supervisory Board. In years 1990-2003Member of the Local Government Appeal Council in Łódź, in years1991-2003 she was employed as legal counsel in Provincial Inspectorateof Environmental Protection in Łódź.

Ms. Janina Goss has stated that her activities outside PGE are notcompetitive in relation to activities of the Company and that she is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andshe is not participating in other competitive legal person as a memberof its body.

Ms. Janina Goss has also stated that she is not registered in Registerof Insolvent Debtors, being kept on the ground of Act on National CourtRegister dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item1186 as amended).

Mr. Mieczysław Sawaryn is a graduate of history and a graduate of lawstudies, having finished legal practice in Bar Association of Szczecin.Since 2014 he has been the Mayor of Town and Community Gryfino. In years2011-2014 and 1999-2007 he run his own Legal Office. In years 2006-2011Mr. Mieczysław Sawaryn was employed in ZEDO S.A., at first as the CEOand then as the Director of Human Resources and Law, being responsiblefor consolidation of ZEDO S.A. within PGE Capital Group.

In years 1998-2014 Mr. Mieczysław Sawaryn was a Councillor of theGryfino Town Council, in years 2006-20014 being the President of theCouncil. In years 2006-2007 Mr. Mieczysław Sawaryn served as as a BoardMember of ZEDO S.A. in Nowe Czarnowo. In years 2002-2004 he was a Memberof the Regional Bar Council in Szczecin at the Bar Association ofSzczecin, in years 1998-1999 Management Board Member of Gryfino Communeand in years 1996-1998 a Member of the Supervisory Board of a heatingcompany Przedsiębiorstwo Energetyki Cieplnej sp. z .o.o in Gryfino.Member of the Supervisory Board of Regional Hospital in Gryfino in years2012-2014.

Mr. Mieczysław Sawaryn has stated that his activities outside PGE arenot competitive in relation to activities of the Company and that he isnot participating in a competitive company as a partner in apartnership, in a civil partnership or as a member of body of a capitalassociation, and he is not participating in other competitive legalperson as a member of its body.

Mr. Mieczysław Sawaryn has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).

Mr. Mateusz Gramza is a graduate of the Faculty of Agriculture of theWrocław University of Environmental and Life Sciences and the Faculty ofManagement and Informatics of Wrocław University of Economics.

Ph.D. studies launched in 2013 at the Faculty of Life Sciences andTechnology of the Wrocław University of Environmental and Life Sciences.

Since 2005 Managing Director and Board Member of BIOTEK AgriculturePoland, a company operating in the field of chemistry, he holdspractical experience in realisation of research of chemical substancesused in process of biomass production for the energy needs. Since 2012President of the Board and co-owner of AgreCo Sp. z o.o., companyoperating in the field of the agricultural research. He is involved ininvestments in biogas and biomass power plants.

In 2009-2012 Member of the Supervisory Board of a Municipal Waterworksand Sewage systems in Wrocław. In 2007-2008 Chairman of the SupervisoryBoard of EnergiaPro Gigawat Sp. z o.o. in Wrocław. In 2006-2008Vice-chairman of the Supervisory Board of POLMOZBYT Jelcz S.A.

In 2006 he passed the examination of the Ministry of the Treasury forcandidates for members of supervisory boards of state-owned companies.

Mr. Mateusz Gramza has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.

Mr. Mateusz Gramza has also stated that he is not registered in Registerof Insolvent Debtors, being kept on the ground of Act on National CourtRegister dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item1186 as amended).

Mr. Grzegorz Kuczyński Ph. D. - a graduate of the Faculty of Law andAdministration at the University of Gdańsk. PhD in civil law. Beforetraining as a lawyer he trained as a judge.

Since 2007 a partner of Gotkowicz Kosmus Kuczyński & Partners Law Firm.

He was an assistant professor of the Chair of Civil Law at theDepartment of Law and Administration of the University of Gdańsk inyears 2005-2013 and an assistant in years 1997-2005.

Mr. Grzegorz Kuczyński Ph. D. has stated that his activities outside PGEare not competitive in relation to activities of the Company and that heis not participating in a competitive company as a partner in apartnership, in a civil partnership or as a member of body of a capitalassociation, and he is not participating in other competitive legalperson as a member of its body.

Mr. Grzegorz Kuczyński Ph. D. has also stated that he is not registeredin Register of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).

Mr. Jarosław Głowacki holds Master Engineer degree obtained from theFaculty of Power and Aeronautical Engineering at the Warsaw Universityof Technology. He completed postgraduate Study on Territorial Governmentand Local Development. He also completed postgraduate studies namedAcademy for Leaders of Local Government at the University of Warsaw.Furthermore, Mr. Jarosław Głowacki completed postgraduate studies onPublic Administration at the Collegium Mazovia - Innovative Universityin Siedlce.

Since 2005, Mr. Jarosław Głowacki has been Deputy President of Siedlce,responsible for initiating activities, obtaining European funds andrealization of projects. Mr. Jarosław Głowacki has experience inevaluation of projects co-funded by the EU. Employed in City Hall ofSiedlce since 1990.

Mr. Artur Składanek holds Master Engineer degree obtained from Instituteof Chemistry at the Warsaw University of Technology in 1983. Duringyears 1983 - 1985 he was taking individual studies at the Faculty ofPower and Aeronautical Engineering at the Warsaw University ofTechnology. In 2008 Mr. Artur Składanek took course and passed thenational exam for candidates to supervisory boards of the State Treasurycompanies.

Since January 2008 Mr. Artur Składanek held a position of Director ofProduction at Finpol Rohr sp. z o. o., where he started to work in June2007 as a Production Specialist. During years from 1994 to 2007 Mr.Artur Składanek was running his own business activity - AWI -Przedsiębiorstwo Wielobranżowe.

Mr. Artur Składanek has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.

Mr. Artur Składanek has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).

Legal ground: § 5 section 1 p. 22 and § 27 and 28 of the Regulation ofthe Polish Minister of Finance of February 19, 2009 on current andperiodic information published by issuers of securities and onconditions under which such information may be recognized as beingequivalent to information required by the regulations of law of a statewhich is not a member state.
