Changes in the Supervisory Board
The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE","Company") discloses that on September 5, 2016 the Extraordinary GeneralMeeting of the Company adopted resolutions on:
- dismissal of Ms. Małgorzata Mika-Bryska from the Supervisory Board asof September 5, 2016,
- appointment of Mr. Witold Kozłowski to the Supervisory Board as ofSeptember 5, 2016.
Mr. Witold Kozłowski completed postgraduate studies of Law and LocalGovernment at Polish Academy of Sciences. He also completed postgraduatestudies for Administration Personnel at Warsaw School of Economics.Since 1998 Mr. Witold Kozłowski has been engaged in local governance,inter alia, as a Secretary of Nowy Sącz District. Mr. Kozłowski has beeninvolved in the Government and Municipalities Common Commission, wherehe was engaged as expert in the Work Group for Infrastructure, LocalDevelopment, Regional Policy and Environment. In years 2006 - 2010Deputy Chairman of Małopolska Voivodship Council. In years 2002 - 2006Chairman and Deputy Chairman of Małopolska Voivodship Council.
Mr. Witold Kozłowski has passed exam for Supervisory Board Members atState Treasury Companies. He gained experience at the Supervisory Boardof companies such as Armatura and Wiromet. He has been also the DeputyChairman of the Board at Małopolska Healthcare Authority.
Mr. Witold Kozłowski has stated that his activities outside PGE are notcompetitive in relation to activities of the Company and that he is notparticipating in a competitive company as a partner in a partnership, ina civil partnership or as a member of body of a capital association, andhe is not participating in other competitive legal person as a member ofits body.
Mr. Witold Kozłowski has also stated that he is not registered inRegister of Insolvent Debtors, being kept on the ground of Act onNational Court Register dated August 20, 1997 (Dziennik Ustaw of 2007No. 168, item 1186 as amended).
In addition, the Management Board provides information about Mr.Radosław Osiński. The Company informed about his appointment to theSupervisory Board in current report no 47/2016 of September 5, 2016.
Mr. Radosław Osiński graduated from International School of PoliticalScience at the University of Silesia in Katowice and from the NationalSchool of Public Administration. In years 1999 - 2016 he has beenworking at the Ministry of State Treasury, where he realized tasksinvolving - inter alia - privatization, corporate governance andprotection of critical infrastructure. Currently Mr. Osiński is employedas a head of unit in the Department of Control and Supervision of theMinistry of Energy.
His professional experience involves positions at Supervisory Boards ofcompanies such as Poznań International Fair, Chemical Plant Rudniki,Chemical Plant Kędzierzyn, Salt Mine Wieliczka, Zakłady EnergetyczneOkręgu Radomsko-Kieleckiego S.A. and Kotlin (food company).
