Dear Mr Dąbrowski,

Acting in the capacity of a representative of the State Treasury as a company shareholder, pursuant to the appointment deed of 15 November 2019, as an authorized person, pursuant to Article 401 § 4 of the Commercial Companies Code, I request that the agenda of the Ordinary General Meeting of Shareholders of PGE Polska Grupa Energetyczna S.A. convened for 26 June 2020 contain the following item:

Adoption of resolutions concerning changes in the Statutes of PGE Polska Grupa Energetyczna S.A.

Justification

The amendments to the Company's Statutes are justified by the need to update them in connection with the implemented reorganization of government administration departments and the transfer of the entitlements to exercise rights related to the shares of PGE Polska Grupa Energetyczna S.A. owned by the State Treasury to the Minister of State Assets.

The current wording of the Statutes contains the provisions on exercising rights related to the shares of PGE Polska Grupa Energetyczna S.A. owned by the State Treasury by the Minister of Energy, introduced on the basis of the repealed Regulation of the Council of Ministers of 3 January 2017 on the list of the companies in which the rights of the shares owned by the State Treasury are exercised by members of the Council of Ministers, Government's proxies or state legal persons other than the Prime Minister.

Simultaneously, I would like to inform you that draft resolutions concerning the matters mentioned above will be submitted without undue delay after their content has been specified in more detail.
