Explanatory Note

This Amendment No. 1 on Form 8-K/A (this “Form 8-K/A”) is an amendment to the Current Report on Form 8-K of Pfizer Inc., dated November 14, 2016 (the “Original 8-K”). This Form 8-K/A is being filed to correct a typographical error in the press release filed as Exhibit 99.1 thereto (the “Exhibit”). As previously filed, the Exhibit reflected the incorrect website from which the offer to purchase, and the related letter of transmittal and notice of guaranteed delivery may be downloaded from Global Bondholder Services Corporation’s website. No other changes have been made to the Original 8-K.

On November 14, 2016, Pfizer Inc. issued a press release announcing the commencement of a tender offer to purchase for cash any and all of its outstanding 6.200% Senior Notes due March 15, 2019. The entire press release is attached as Exhibit 99.1 and is incorporated by reference herein.
