On May 17, 2012, David S. Simmons, President and General Manager of Pfizer’s Emerging Markets and Established Products Business Units, informed the Company of his resignation from all positions with Pfizer and its subsidiaries and affiliates, effective at the close of business on May 31, 2012. On May 23, 2012, the Company issued a press release, which is attached as Exhibit 99.1 and incorporated by reference herein, announcing Mr. Simmons’ resignation and certain related matters.
