Second Step of Contract to Exchange Interests in Plinhold d.o.o. and GEOPLIN d.o.o. Ljubljana Completed

After having fulfilled the suspensive conditions, PETROL d.d., Ljubljana and the Republic of Slovenia, which is represented by the Slovenian Sovereign Holding pursuant to the Slovenian Sovereign Holding Act (ZSDH-1), completed on 7 November 2024 the second step of the contract to exchange interests in GEOPLIN d.o.o. Ljubljana and Plinhold d.o.o. in accordance with the contract of exchange which they signed on 14 July 2016. In the first step of the contract of exchange of 14 July 2016, PETROL d.d., Ljubljana became the majority owner of GEOPLIN d.o.o. Ljubljana and the Republic of Slovenia the majority owner of Plinovodi d.o.o. (and the subsequently established Plinhold d.o.o.), and the Republic of Slovenia retained a 25.01-percent interest in GEOPLIN d.o.o. Ljubljana.

After having completed the second step of the relevant contract on 7 November 2024, PETROL d.d., Ljubljana will hold a 99.35-percent interest in GEOPLIN d.o.o. Ljubljana (99.55 percent of voting rights) and a 12.72-percent interest in Plinhold d.o.o.
