FORM OF PROXY ANNUAL GENERAL MEETING 2022

Please read the Notice of the Annual General Meeting (Meeting) and the accompanying notes carefully before completing this Form of Proxy.
If your shares are held through CREST, you can submit your proxy using the CREST proxy voting system. Further information is at note 1.
If you hold your shares in certificated form you can, as an alternative to returning the Form of Proxy by post, submit your proxy online at www.sharevote.co.uk or www.shareview.co.uk
if you have already registered with Shareview, the Company's Registrar's online portfolio service. Further information is at note 2.
As a shareholder of Petrofac Limited you have the right to attend, speak and vote at the Meeting. While attendance may be restricted but you still want to vote, you are encouraged to appoint someone to attend the Meeting and vote on your behalf. That person is known as a 'proxy'.
You can use this Form of Proxy to appoint the Chairman of the Meeting, or someone else, as your proxy. Your proxy does not need to be a shareholder of the Company. Your proxy cannot speak at the Meeting except to ask for a poll vote or except with the permission of the Chairman of the Meeting.
(Shareholders residing outside the UK should return this form in the enclosed prepaid envelope.)

NOTES
-
- CREST members wishing to appoint one or more proxies or to give an instruction to a proxy (whether previously appointed or otherwise) via the CREST system must ensure that, in order for such CREST Proxy Instruction to be effective, it is received by the Company's agent, (ID number RA19) not later than 48 hours before the time appointed for holding the Meeting or any adjournment thereof, together with any power of attorney or other authority under which it is sent. For this purpose, the time of receipt will be taken to be the time (as determined by the timestamp generated by the CREST system) from which the Company's agent is able to retrieve the message. The Company may treat as invalid a proxy appointment sent by CREST. For further information relating to the CREST proxy system, please refer to the CREST manual and the notes to the Notice of Annual General Meeting.
-
- As an alternative to completing the hard-copy Proxy Form, you can appoint a proxy electronically by visiting www.sharevote.co.uk. You will need your Voting ID, Task ID and Shareholder Reference Number (this is the series of numbers printed on your Proxy Form). Alternatively, if you have already registered with Company's Registrar's online portfolio service, Shareview, you can submit your Proxy Form at www.shareview.co.uk using your usual user ID and password. Full instructions are given on both websites. To be valid, your proxy appointment(s) and instructions should reach Equiniti Limited no later than 10.30am on Tuesday, 24 May 2022, or by no later than 48 hours prior to the time appointed for the holding of any adjourned Meeting.
-
- If you are an institutional investor, you may be able to appoint a proxy electronically via the Proxymity platform, a process which has been agreed by the Company and approved by the Registrar. For further information regarding Proxymity, please go to www.proxymity.io. Your proxy must be lodged by 10.30am on Tuesday, 24 May 2022 in order to be considered valid. Before you can appoint a proxy via this process you will need to have agreed to Proxymity's associated terms and conditions. It is important that you read these carefully as you will be bound by them and they will govern the electronic appointment of your proxy.
-
- If you wish to appoint as your proxy a person (who need not be a member) other than the Chairman of the Meeting, please delete the words 'the Chairman of the Meeting' and insert the name of the other person. All alterations made to this Form of Proxy must be initialled by the signatory.
-
- The completion and return of this Form of Proxy will not prevent you from attending in person and voting at the
- Meeting should you subsequently decide to do so. 6. If you wish your proxy to cast all of your votes for or against a resolution, you should insert an 'X' in the appropriate box. If you wish your proxy to cast only certain votes for and certain votes against, insert the relevant number of shares in the appropriate box. In the absence of instructions, your proxy may vote or abstain from voting as he or she thinks fit on the specified resolutions and, unless instructed otherwise, may also vote or abstain from voting as he or she thinks fit on
any other business (including on a motion to amend a resolution, to propose a new resolution or to adjourn the Meeting) which may properly come before the Meeting.
-
- The 'Vote Withheld' option is provided to enable you to instruct your proxy to abstain from voting on a particular resolution. A 'Vote Withheld' is not a vote in law and will not be counted in the calculation of the proportion of the votes 'For' or 'Against' a resolution. The 'Discretionary' option is provided to enable you to give discretion to your proxy to vote or abstain from voting on a particular resolution as he or she thinks fit.
-
- This Form of Proxy must be signed by the shareholder or his/her attorney. Where the shareholder is a corporation, the signature must be under seal or signed by a duly authorised representative. In the case of joint shareholders, any one shareholder may sign this Form of Proxy. The vote of the senior joint shareholder (whether in person or by proxy) will be taken to the exclusion of all others, seniority being determined by the order in which the names stand in the register of members in respect of the joint shareholding.
-
- To be valid, this Form of Proxy (together with any power of attorney or other authority under which it is signed or a copy of such authority certified notarially or in some other way approved by the Board of Directors) must be deposited at Equiniti Limited, Aspect House, Spencer Road, Lancing, West Sussex BN99 6DA, not later than 48 hours before the time appointed for the holding of the Meeting (or any adjournment). Please note that delivery using this service can take up to five business days.
