Regulation 24A of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), specifies that the listed entity shall submit secretarial compliance report in the format specified to Stock Exchange(s) within sixty days from end of each financial year.
Further it may be noted that it shall not apply as per Regulation 15(2) of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), in respect of
(a) The listed entity having paid up equity share capital not exceeding rupees ten crore and net worth not exceeding rupees twentyfive crore, as on the last day of the previous financial year:
(b) The listed entity which has listed its specified securities on the SME Exchange.
Please note that the paidup equity share capital is Rs. 9,52,200/ and the net worth of the company is not exceeding rupees twentyfive crores as on the last day of the previous financial year. Accordingly, the company is not liable to submit the Secretarial Compliance Report under regulation 24A of SEBI for the year ended 31st March 2024.
