Sub.: Intimation under Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and intimation of closure of Trading Window

Pursuant to Regulations 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and all other applicable provisions, if any, we wish to inform you that the meeting of the Board of Directors of Persistent Systems Limited is scheduled to be held on Friday, July 24, 2020 and will continue on Saturday, July 25, 2020 at Pune, to consider inter alia, the following businesses:

1. The Audited Financial Results of the Company for the quarter ended June 30, 2020.

2. The Audited Financial Results of the Company and its subsidiaries for the quarter ended June 30, 2020.

Please note that the Board of Directors will consider the aforesaid business items on Saturday, July 25, 2020.

Further, in terms of the MCA Notification (F. No. 1/32/2013-CL-V-Part) dated March 19, 2020, the said meeting will be held through tele-conferencing.

The Company will hold investor / analyst call on Monday, July 27, 2020. During such call, the Management will comment on the financial results for the quarter ended June 30, 2020 and comment on business outlook. Details of the call will be published on the Company’s website in due course.

Also, in terms of SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Internal Code of Conduct for Prevention of Insider Trading of the Company, we wish to inform you that the Trading Window will remain closed from Wednesday, June 24, 2020 to Monday, July 27, 2020 .

The Trading Window will re-open from Tuesday, July 28, 2020 unless communicated otherwise.

The Company has already communicated well before time about the said closure to its Promoters, Promoter Group, Board of Directors, Key Managerial Personnel and Designated Persons.
