Sub: Intimation about stepping down of Prof. Deepak Phatak (DIN: 00046205) from the position of Independent Director of the Company

In terms of Regulation 30 and any other applicable regulations, if any of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that Prof. Deepak Phatak (DIN: 00046205) upon his reaching the age of 75 years, has decided to step down from the position of Independent Director of the Company, and has conveyed his decision through a letter dated April 2, 2023, with immediate effect.

In his above-mentioned communication, he informed the Board of Directors that his decision of stepping down is in accordance with the Company’s internal norms relating to the age of Independent Directors and confirmed that there are no material reasons for his resignation other than the reason mentioned above.

The above-mentioned letter dated April 2, 2023, along with details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, is enclosed as Annexure for your records.

The Board has noted and acknowledged his decision, thanked Prof. Deepak Phatak for his contribution to the Company, and wished him the best in his future endeavors.

I, Prof. Deepak Phatak, Independent Director of the Company wish to inform you that I am stepping down from the position of the Independent Director of the Company, with immediate effect upon my reaching the age of 75 years. This is in a norms with respect to the age of Independent Directors.

Therefore, I request you to relieve me from the duties of the Independent Director and Chairmanship/Membership of the Committees of the Board of Directors of the Company.

I wish to confirm that other than the above-mentioned internal norm, there are no material reasons behind my resignation from the Board.
