CLARIFICATION ANNOUNCEMENT

Reference is made to the announcement of APAC Resources Limited (the ‘‘Company’’) dated 28 January 2014 (the ‘‘Announcement’’) in relation to a transaction contemplated under a loan agreement dated 26 January 2014 entered into between Fortune Arm Limited as the Lender, the Borrower and the Guarantor. Terms defined in the Announcement shall have the same meanings when used herein unless the context otherwise requires.

In addition to the disclosure set out in the Announcement, the board of directors of the Company wishes to add the following identities of the parties to the Transaction:

• (1) Borrower: Rising Peak Investment Guangzhou Company Limited

• (2) PRC Company A: Tian An (Guangzhou) Investments Co., Ltd.

• (3) WFOE: 亞太資源(青島)有限公司
