Persimmon Plc ("the Company") - Voting Rights and Capital

In conformity with Disclosure and Transparency Rule 5.6.1, we announce that the Company's share capital at 31 July 2014 consisted of 305,861,226 ordinary shares of 10p each.  The Company does not hold any shares in Treasury.  Therefore, the total number of voting rights in the Company is currently 305,861,226.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in the Company.

The 85,725,061 B Shares which were issued on 23 June 2014 following the approval of the Return of Cash described in the Circular to shareholders dated 17 March 2014 were redeemed by the Company for 70p each on 4 July 2014 and subsequently cancelled. The 220,072,490 C Shares which were also issued on 23 June 2014 following the approval of the Return of Cash were all reclassified as Deferred Shares on 4 July 2014 following the payment of a single dividend of 70p per C Share.  The Company then purchased the Deferred Shares for an aggregate consideration of one penny and cancelled those shares on 7 July 2014.
