ITEM 8.01 Other Events.

On June 30, 2008, Pentair, Inc. (the “Company”) issued a press release announcing that the Company had entered into a joint venture with GE Water & Process Technologies, a unit of the General Electric Company (“GE”) to combine their respective global water softener and residential water filtration businesses. Under the terms of the agreement, the Company has an 80 percent ownership stake and GE has a 20 percent ownership stake of the joint venture — Pentair Residential Filtration. In 2007, the combined net sales of the participating businesses were approximately $450 million USD.
