ITEM 8.01 Other Events

On July 12, 2007, Pentair, Inc. (the “Company”) announced that Karen A. Durant’s employment with the Company as its Senior Vice President, Finance and Analysis will end effective August 1, 2007. The Company and Ms. Durant entered into an Agreement to Enter into Separation Agreement and Release (the “Agreement”) on July 12, 2007, a copy of which is filed herewith.

A copy of the Agreement entered into between Ms. Durant and the Company is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
