notification of CHANGE OF INTEREST RATE IN RESPECT OF THE GBP 100,000,000 Index Linked Notes due 2022 linked to the DB TRENDS USD Index which are renamed gbP 100,000,000 VARIABLE RATE notes due 2022 (isin: xs0311717929)

Pennon Group Plc announces with effect from 12 July 2013 (the "Amendment Date") the following changes to its GBP 100,000,000 Index Linked Notes due 2022 linked to the DB Trends USD Index (ISIN: XS0311717929) (the "Notes"):

·     the Notes shall no longer be linked to the DB Trends USD Index, and the Notes shall be renamed "GBP 100,000,000 Variable Rate Notes due 2022";

·     the definition of Coupon Amount Payment Date shall be deleted in its entirety and replaced with the following: "Coupon Amount Payment Date" means 13 January and 13 July in each year from and including 13 January 2008 to and including 13 July 2022.";

·     the definition of Coupon Amount Rate shall be deleted in its entirety and replaced with the following: " "Coupon Amount Rate" means in respect of the Coupon Amount Period ending on 13 July 2013 and each subsequent Coupon Amount Period thereafter, 3.300 per cent. per annum."; and

·     as of the Amendment Date, the definition of Final Maturity Date shall be amended to mean 13 July 2022.
