Pembroke VCT plc (the "Company")

Purchase of Own Securities

The Company announces that on 1 February 2018 it purchased 92,943 B Ordinary shares for cancellation.  The price paid was 96p per B Ordinary share.

Following the cancellation of these shares, the Company's issued share capital will be as follows:

·     18,095,005 Ordinary Shares (including 2 Ordinary Shares issued as subscriber shares)

·     25,294,425 B Ordinary Shares

Therefore, the total number of voting rights in the Company is 43,389,430.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
