Statement regarding Offer for Subscription

The Company launched a B Ordinary Share offer in October 2014.  The B Ordinary Shares are a separate class of share, distinct from the existing Ordinary Shares, and with distinct rights to a separate pool of assets and liabilities.

The Company has built a solid pipeline of new investments which are currently undergoing due diligence.  In order to be in a position to provide the required funding for those new investments in short order from the subscriptions received to date, in accordance with the provisions of the prospectus issued by the Company on 3 October 2014, the board of directors of the Company has resolved to reduce the Minimum Subscription Threshold for the purposes of the Offer to £3 million gross proceeds.  The directors confirm that, as at the date of this announcement, the Minimum Subscription Threshold condition has been satisfied.

The offer remains open for 2014/15 until 2 April and for 2015/16 until 1 September.
