COMPLETION OF MAJOR ACQUISITIONS IN RELATION TO ACQUISITION OF EACH OF THE TARGET COMPANIES

Reference is made to the announcement of Skyway Securities Group Limited (formerly known as Mission Capital Holdings Limited) (the “Company”) dated 11 May 2015 and the circular (the “Circular”) of the Company dated 26 August 2015 in relation to, among other things, the Agreements and the transactions contemplated thereunder, the grant of the Specific Mandate and the issue of the Promissory Notes. Capitalised terms used herein shall have the same meanings as defined in the Circular, unless the context requires otherwise.

The board of directors of the Company (the “Directors”) is pleased to announce that all conditions precedent to the Completions as set out in the Agreements have been fulfilled and Completions took place on 4 November 2015.

Following Completions, the Target Companies had become the wholly-owned subsidiaries of the Company and the financial results of the Target Companies will be consolidated in the accounts of the Group.
