EXTENSION OF LONG STOP DATE RELATING TO THE CONNECTED TRANSACTION

References are made to the announcement of CMBC Capital Holdings Limited (the “ Company ”) dated 3 July 2018 (the “ Announcement ”) in relation to, among other matters, the Subscription of Subscription Shares which constituted a connected transaction for the Company under Chapter 14A of the Listing Rules and the circular of the Company dated 3 September 2018 (the “ Circular ”). Capitalised terms used herein shall have the same meanings as those defined in the Circular unless the context requires otherwise.

EXTENSION OF LONG STOP DATE

As disclosed in the Circular, the Subscription Completion is conditional upon the satisfaction of the conditions precedent on or prior to 4:00 p.m. on the Long Stop Date (or such late date as may be agreed by the Subscriber and the Company in writing).

As more time is required for the fulfilment of the conditions precedent set out in the Subscription Agreement, the Subscriber and the Company have entered into a supplemental agreement (the “ Supplemental Agreement ”) to extend the Long Stop Date to 14 October 2018 (or such other date as the Subscriber and the Company may further agree).

Save as aforesaid, all other terms and conditions of the Subscription Agreement shall remain unchanged.
