Additional Explanations
We had announced most recently on 09.08.2024 that the Capital Markets Board approved the issuance of debt securities for sale outside of Türkiye within a time period of 1 year as of the date of approval. In this respect, we mandated Citigroup Global Markets Limited, Morgan Stanley & Co. International plc, J.P. Morgan Securities plc, HSBC Bank plc, SMBC Nikko Capital Markets Limited and BCP Securities, Inc. for the purpose of offering the bonds to qualified investors outside of Türkiye within the format of "Rule 144A" and/or "Regulation S". It is planned that, starting from 02.09.2024, members of our senior management will attend a series of virtual investor meetings to be arranged with potential investors residing abroad. Final decision on the issuance will be determined based on market conditions at the time of issuance and the issuance will be completed following the receipt of the tranche issuance document from the Capital Markets Board. We will provide further developments on the matter through additional disclosures. This Material Disclosure Announcement is prepared in Turkish and in English. In case of any discrepancy between the two versions, Turkish disclosure will prevail.
