PEET LIMITED - TAKEOVER BID FOR CIC AUSTRALIA LIMITED - NOTICE OF FULFILMENT OF OFFER CONDITION AND TO FREE OFFER FROM CONDITION

In accordance with the Corporations Act, please find attached notice of fulfilment of Offer condition (in accordance with section 630(4) of the Corporations Act) and to free Offer from condition (in accordance with section 650F of the Corporations Act).

This document relates to Peet Limited's bidder's statement dated 11 April 2013 (as supplemented)1 for all of the shares in CIC Australia Limited.

A copy of the attached notice has been given to CIC Australia Limited today.

PEET LIMITED (ABN 56 008 665 834) ("BIDDER") NOTICE OF FULFIMENT OF CONDITION AND TO FREE OFFER FROM CONDITION

TO: CIC Australia Limited ("CIC")

AND TO: ASX Limited

In relation to the Bidder's Statement dated 11 April 2013 in relation to the takeover bid by the Bidder for all of the shares in CIC ("Bidder's Statement"), the Bidder gives notice under:

• 1 Section 630(4) of the Corporations Act that the condition in paragraph (c) (Placement Agreement not terminated) of section 10 of the Bidder's Statement has been fulfilled and, accordingly, the Offer made by the Bidder under the Bidder's Statement and any takeover contract arising from acceptance of the Offer are now free of that condition.
• 2 Section 650F of the Corporations Act that the condition set out in paragraph (j) (no Prescribed Occurrences) of section 10 of the Bidder's Statement has been freed and, accordingly, the Offer made by the Bidder under the Bidder's Statement and any takeover contract arising from acceptance of the Offer are now free of that condition.

As at the date of this notice, the Bidder's voting power in CIC is 83.15%, comprising 104,594,171 shares out of a total of 125,791,118 shares presently on issue.

All of the conditions set out in section 10 of the Bidder's Statement have been freed or satisfied and as such, the Offer is now unconditional.

Unless the context requires otherwise, defined terms in the Bidder's Statement have the same meaning in this notice.
