PEET LIMITED – NOTICE IN RESPECT OF SHARE ISSUE – CONDITIONAL PLACEMENT

This notice is given by Peet Limited (ABN 56 008 665 834) (“ Peet ”) under section 708A(5)(e) of the Corporations Act 2001 (Cwlth) (“ Act ”).

Peet advises that, following approval of ordinary shareholders at an Extraordinary General Meeting on Friday 17 May 2013, it has issued 6,956,522 ordinary shares (“ Shares ”) under a conditional placement to Golden Years Holdings Pty Limited as Trustee for Peet Superannuation Fund (a company and trust associated with the Chairman of Peet) at an issue price of A$1.15 per Share.

Peet confirms that:

• (a) the Shares were issued without disclosure under Part 6D.2 of the Act;

• (b) this notice is being given under section 708A(5)(e) of the Act;

• (c) as at the date of this notice, Peet has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Peet; and

  • (ii) section 674 of the Act; and

• (d) as at the date of this notice, we are not aware of any information that may be “excluded information” within the meaning of sections 708A(7) and (8) of the Act.
