Item 7.01. Regulation FD Disclosure.

Pebblebrook Hotel Trust (the "Company") issued a press release on February 23, 2023, announcing that on February 22, 2023, it closed on the sale of the 151-room The Heathman Hotel, located in Portland, OR, for $45.0 million to a third party.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.

Item 8.01. Other Events.

On February 22, 2023, the Company closed on the sale of the 151-room The Heathman Hotel, located in Portland, OR, for $45.0 million to a third party. Proceeds from the sale will be used for general corporate purposes, which may include reducing the Company's outstanding debt and repurchasing the Company's common and preferred shares.
