With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors (“ NRC Committee ”) of the Company has approved the allotment of 62,600 (Sixty-Two Thousand Six Hundred Only) Equity Shares of ₹ 2/- (Rupees Two Only) each on February 7, 2024, to the employees of the Company and its subsidiaries, who have exercised stock options vested to them under PDS Limited – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased from existing ₹26,38,76,078/- [13,19,38,039 Equity Shares divided into Face Value of ₹2/- each] to ₹26,40,01,278/[13,20,00,639 Equity Shares divided into Face Value of ₹2/- each]. The requisite disclosure as required under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 are enclosed herewith as Annexure – I for your kind reference.

Furthermore, we would like to inform you that the NRC Committee has also approved on February 7, 2024, the transfer of 1,250 Equity Shares from PDS Multinational Fashions Trust at the exercise price of ₹240/- each resulting in a total realized amount ₹3,00,000/-, through off market mode, to the employee(s) of the Company/ Subsidiaries who have exercised their options PDS Limited– Employee Stock Option Plan 2021 – Plan B.
