With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company has approved the allotment of 3,59,180 (Three Lakhs Fifty-Nine Thousand One Hundred and Eighty Only) Equity Shares of ₹ 2/- (Rupees Two Only) each on July 24, 2024, to the employees of the Company, who have exercised stock options vested under PDS Limited – Employee Stock Option Plan 2021 and PDS Limited – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased from existing ₹26,41,03,282/- [13,20,51,641 Equity Shares divided into Face Value of ₹2/- each] to ₹ 26,48,21,642/[13,24,10,821 Equity Shares divided into Face Value of ₹2/- each]. The requisite disclosure as required under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 are enclosed herewith as Annexure – I for your kind reference.
