With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee (‘ NRC Committee ’) of the Board of Directors of the Company has approved the allotment of 1,65,605 (One Lakh Sixty-Five Thousand Six Hundred and Five Only) Equity Shares of ₹ 2/- (Rupees Two Only) each on December 12, 2024, to the employees of the Company and its Subsidiaries, who have exercised stock options vested under PDS Limited – Employee Stock Option Plan 2021 and PDS Limited – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased from existing ₹ 28,18,52,056/- [14,09,26,028 Equity Shares divided into Face Value of ₹2/- each] to ₹ 28,21,83,266/[14,10,91,633 Equity Shares divided into Face Value of ₹2/- each]. The requisite disclosure as required under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 are enclosed herewith as Annexure – I for your kind reference.

Furthermore, we would like to inform you that the NRC Committee has also approved on December 12, 2024, the transfer of 3,750 Equity Shares from PDS Multinational Fashions ESOP Trust at an exercise price of ₹240/- each resulting in a total realized amount ₹ 9,00,000/-, through off market mode, to the employee(s) of the Company who have exercised their options PDS Limited– Employee Stock Option Plan 2021 – Plan B.
