With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company on January 23, 2023 has approved the allotment of 34,375 (Thirty Four Thousand Three Hundred and Seventy Five Only) Equity Shares of Rs.2/- (Rupees Two Only) each on January 23, 2023, to the employees of the Company and its subsidiaries, who have had exercised stock options vested under PDS Limited (Erstwhile PDS Multinational Fashions Limited) – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased to Rs.26,16,34,740/- divided into 13,08,17,370 Equity Shares at the Face Value of Rs.2/- each. The requisite disclosure as required under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 are enclosed herewith as Annexure – I for your kind reference.
