With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors (“ NRC Committee ”) of the Company has approved the allotment of 1,62,500 (One Lakh Sixty-Two Thousand Five Hundred Only) Equity Shares of ₹ 2/- (Rupees Two Only) each on November 28, 2023, to the employees of the Company and its subsidiaries, who have exercised stock options vested to them under PDS Limited (Erstwhile PDS Multinational Fashions Limited) - Employee Stock Option Plan 2021 and PDS Limited (Erstwhile PDS Multinational Fashions Limited) – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased from existing ₹26,35,51,078/- [13,17,75,539 Equity Shares divided into Face Value of ₹2/- each] to ₹26,38,76,078/[13,19,38,039) Equity Shares divided into Face Value of ₹2/- each].
