With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company has approved the allotment of 2,99,375 (Two Lakhs Ninety-Nine Thousand Three Hundred Seventy Five Only) Equity Shares of Rs.2/- (Rupees Two Only) each on December 13, 2022, to the employees of the Company and its subsidiaries, who have had exercised stock options vested under PDS Limited (Erstwhile PDS Multinational Fashions Limited) - Employee Stock Option Plan 2021 and PDS Limited (Erstwhile PDS Multinational Fashions Limited) � Employee Stock Option Plan 2021 � Plan A respectively.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased to Rs.26,15,65,990/- divided into 13,07,82,995 Equity Shares at the Face Value of Rs.2/- each. The requisite disclosure as required under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 are enclosed herewith as Annexure � I for your kind reference.
