Registration of a share capital increaseand amendments to the articles of association of PCF Group S.A.TheManagement Board of PCF Group S.A. with its registered office in Warsaw(the "Company") hereby informs that on 22 June 2023 it obtainedinformation that on 22 June 2023 the District Court for the capital cityof Warsaw in Warsaw, 13th Business Division of the National CourtRegister registered the amendments to the Articles of Association of theCompany adopted in Resolution No. 4/02/2023 of Extraordinary GeneralMeeting of the Company of 28 February 2023 on the increase of theCompany's share capital through the issue of ordinary Series F Shares,the exclusion of all the pre-emptive rights of its current shareholdersin relation to all the Series F Shares, the seeking of the admission andintroduction of the Series F Shares and the rights to Series F Shares totrading on a regulated market operated by the Warsaw Stock Exchange, thedematerialization of Series F Shares and the rights to Series F Sharesand the authorization to execute an agreement on the registration of theSeries F Shares and the rights to Series F Shares in the depository ofsecurities, and on amendments to the Articles of Association of theCompany, the adoption of which was reported by the Management Board ofthe Company in the current report No. 7/2023 dated 28 February 2023.

The amendments to the Articles of Association of the Company registeredby the Court relate to the increase of the Company's share capital fromPLN 601,726.60 to PLN 668,587.34 by issuing 3,343,037 of the series Fordinary bearer shares with the nominal value of PLN 0.02 each.

As of the date of release of this current report, the total number ofvotes ensuing from all the Company's issued shares is 33,429,367.

The Company's share capital is divided into 33,429,367 ordinary bearershares with the nominal value of PLN 0.02 each, including (i) 27,500,000series A ordinary bearer shares, (ii) 2,062,512 series B ordinary bearershares, (iii) 387,714 series D ordinary bearer shares, (iv) 136,104series E ordinary bearer shares and (v) 3,343,037 series F ordinarybearer shares.

The Management Board of the Company encloses the consolidated text ofthe Company's Articles of Association, including the amendmentsregistered by the Court on 22 June 2023.
