Report Content Fulfilment of the condition precedent contained in the conditionalsettlement agreement with Square Enix LimitedThe ManagementBoard of PCF Group S.A. with its registered office in Warsaw (the"Company"), with reference to the information published in currentreport No. 14/2025 and in current report No. 44/2025, announces that thecondition precedent contained in the conditional settlement agreement of19 November 2025 concluded with Square Enix Limited with its registeredoffice in London (United Kingdom), hereinafter referred to as the"Publisher" ("Settlement"), has been fulfilled, i.e. the Company'scapital group (the "Group") delivered to the Publisher, within the timelimit specified in the Settlement, the materials specified therein whichwere developed under the Gemini project, referred to as the closing kit("Closing Kit"), and the Publisher reviewed the Closing Kit within thetime limit specified in the Settlement and confirmed the contents of theClosing Kit today.

In connection with the above, the legal effects provided for in theSettlement have occurred, i.e. (i) the Group and the Publisher areobliged to make final financial settlements for the Gemini project inaccordance with the schedule adopted in the Settlement; (ii) thedevelopment and publishing agreement dated 12 August 2020 relating tothe Gemini project was terminated by mutual agreement of the parties;(iii) the development and publishing agreement dated 16 February 2016relating to the Madness project has been terminated by mutual agreementof the parties; (iv) the Publisher and the Group have mutually waivedany potential claims related to their cooperation to date.
