Resolution No. 4/2024 of the Management Board of PCF Group S.A. of Warsaw (the "Company") of April 29th, 2024

concerning the Management Board's proposal to cover the Company's net loss for the financial year 2023

Section 1

Pursuant to Art. 13.1 and Art. 14.1 of the Company's Articles of Association, as well as Art. 368.1 of the Commercial Companies Code, the Management Board hereby resolves to propose to the Annual General Meeting that the Company's net loss for the financial year 2023, of PLN 64,651,944.69 (sixty-four million six hundred fifty-one thousand nine hundred forty-four złoty, sixty-nine groszy), disclosed in the Company's full-year standalone financial statements for the financial year ended December 31st, 2023, be covered, in full, from the Company's statutory reserve funds.

Section 2

The Management Board resolves to request the Supervisory Board assess this proposal to cover the Company's net loss for the financial year 2023, as prescribed by Art. 15.2.1 of the Company's Articles of Association, and submit it for consideration to the Annual General Meeting, in accordance with Art. 395.2.2 of the Commercial Companies Code.

Section 3

This resolution shall become effective upon its adoption.
