Additional Explanations

Sermaye Piyasası Kurulu'nun II-14.1 sayılı Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği hükümleri çerçevesinde düzenlenen Şirket finansal tablolarında yer alan 2022 yılı ana ortaklığa ait net dönem kârının 126.604.932 TL, Vergi Usul Kanunu (VUK) hükümleri çerçevesinde düzenlenen finansal tablolarımızda yer alan net dönem kârının 45.082.099,17 TL ve geçmiş yıl zararının 63.602,10 TL olduğu, geçmiş yıl zararının mahsubu ve Türk Ticaret Kanunu'nun 519. maddesi uyarınca %5 oranındaki genel kanuni yedek akçenin ayrılması sonucunda 42.767.572,21 TL net dağıtılabilir kâra ulaşıldığı dikkate alınarak; Şirket kâr dağıtım politikasında çizilen çerçeveye ve sermaye piyasası mevzuatına uygun olarak,

· 2022 yılı net dağıtılabilir dönem kârından 38.200.000,00 TL ve geçmiş yıl kârlarından 2.700.000,00 TL olmak üzere toplam 40.900.000,00 TL'sının nakit kâr payı olarak dağıtılması,

· TTK'nın 519'uncu maddesinin 2'nci fıkrasının (c) bendi uyarınca 3.865.000,00 TL tutarında genel kanuni yedek akçe ayrılması,

· kâr dağıtımı sonrası kalan tutarın olağanüstü yedek akçe olarak ayrılması;

hususlarının Olağan Genel Kurul toplantısında pay sahiplerinin onayına sunulmasına karar verilmiştir.
