Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 5, 2020, the Board of Directors of Paycom Software, Inc. (the “Company”) amended and restated the Company’s existing bylaws (as so amended and restated, the “Amended and Restated Bylaws”) to (i) adopt a new Article VIII, Choice of Forum , which designates the federal district courts of the United States as the exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, and (ii) remove references to the Amended and Restated Stockholders Agreement, which was terminated on December 29, 2015.
