In accordance with art. 113 of the ASF Regulation no. 1/2006 on issuers and transactions with securities and considering the convening of the Management Board meeting for 21.06.2017, submitted by the current report no. 9821 / 13.06.2017, we present attached the Decision no. 550/21.06.2017 of the Management Board of Patria Bank SA regarding the approval of the bank's actual office's change and the appropriate modification of the Articles of Association.

regarding the approval of the establishment of the Bank's actual office in Bucharest

and the completion of the registration formalities with the Trade Register Office

The Management Board, in its meeting dated 21.06.2017, analyzing the material submitted by the Legal Department regarding the approval of the establishment of the Bank's actual office in Bucharest, and the completion of the registration formalities with the Trade Register Office,

DECIDES

Article 1. Regarding the proposal regarding the approval of the establishment of the real estate of the Bank in Bucharest and the completion of the registration formalities at ORC, the Board of Directors approves the following:

I. Establishment of the actual office of Patria Bank SA in Bucharest, Pipera Sos. 42, GLOBALWORTH PLAZA building, floors 7, 8 and 10, district 2.

II. The Articles of Association of Patria Bank SA will be amended to reflect the changes, the establishment and registration of the Bank's actual office will be notified to the National Bank of Romania within 10 days since the registration with the Trade Register Office.

Thus, the updating of the Articles of Association will aim to amend Art. 2.1.from Article 2 Headquarters and secondary offices as follows:

• modifying art. 2.1.

Former form:

2.1 "The registered office and the actual of the Bank is in Bucharest, Sector 1, Brezoianu Ion Street, Actor, no. 31, floors 1, 2 and attic, Romania. "

New form:

"Article 2 Registered Office and Secondary Offices

2.1. The registered office of the Bank is in Bucharest, district 1, 31 Ion Brezoianu Actor street, floors 1, 2 and attic , Romania and the actual office is located in Bucharest, 42 Pipera Road, building GLOBALWORTH PLAZA building, floors 7, 8 and 10, 2nd district."

III. For the actual office, the following object of activity, as approved by the National Bank of Romania and included in the Articles of Incorporation, namely:
