Subject – Disclosure regarding appointment of Directors.

Dear Sirs/Madam

This is with reference to the observation of the Exchange dated 31[st] October, 2024 regarding Appointment of Mr. Kannan Rajarathnam (DIN: 10697659) as Director in the category of Additional Non-Executive Independent Director of the Company and Mr. Farukh Wadia (DIN: 00097162) as Director in the Category of Additional Non-Executive Non-Independent Director of the company with effect from 24th October, 2024 subject to the Shareholders Approval by way of Special Resolution in compliance with Regulation 17(1C) of SEBI (LODR) Regulations, 2015.

On basis of above you we would like to submit as under

• i) The appointment of Mr. Kannan Rajarathnam (DIN: 10697659) Additional NonExecutive Independent Director and appointment of Mr. Farukh Wadia (DIN: 00097162) Additional Non-Executive Non- Independent Director was done by the recommendation of Nomination and Remuneration Committee due to his skills, expertise and his vast experience in the Logistics Industry.

• ii) Both the directors were appointed by the Company via circular Resolution passed by the Board of Directors on Thursday, 24[th] October, 2024. (Last date of Directors Consent for circular resolution).

• iii) In Line with above The company immediately on same day i.e. on Thursday, 24[th] October, 2024 has intimated the appointment of Directors under regulation 30 of Listing Regulations under change in management tab in both PDF (Ack No: 2024/Oct/14995/15149) and XBRL (Ack No: 2024/Oct/14997/15151) format.

• iv) However due to inadvertence the we failed to mention the additional details for the appointment of directors as per Regulation 36(3) of SEBI (LODR) Regulations, 2015.

• v) Hence on Friday, 25[th] October, 2024 we had submitted revised Disclosure under regulation 30 of SEBI (LODR) Regulations, 2015 providing the affirmations and disclosures and other details for the appointment of directors as per Regulation 36(3) of SEBI (LODR) Regulations, 2015. (Ack No: 2024/Oct/15936/16100)

• vi) In revised Disclosure filed on 25[th] October, 2024 in point number 9 we have mentioned that both the Director to be appointed are Not related to any Director / Key Managerial Personnel of the Company.

• vii) Further in relation to Affirmation “ that the Director being appointed is not debarred from holding the office of director by virtue of any SEBI order or any other such authority as per NSE circular dated June 20,2018 no. NSE/CML/2018/02 and other details per said circular” we have submitted revised intimation on 31.10.2024 and the Acknowledgment copy of the same is attached herewith. (Ack No: 2024/Oct/21029/21269).
