Ref.: SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (“Takeover Regulations”).

This is to inform that Mr. Pravin Patel, Relative of promoters (other than ‘immediate relatives’ of promoters disclosed under ‘Promoter and Promoter Group’ category) expired on July 1, 2025. The transmission of 40,800 equity shares held by late Pravin Patel to the nominee i.e. the undersigned, Mr. Ryan Patel, member of the Promoter Group was completed on May 25, 2026.

The aforesaid transfers of the equity shares of Patel Engineering Ltd by way of transmission falls under Regulation 10(1)(g) of the Takeover Regulations. The said shares will be dealt with in accordance with the applicable succession laws.

In the context, please find enclosed disclosure by the me/undersigned Ryan Patel (nominee) under Regulation 10(6) i.e. Report to the Stock Exchanges in respect of acquisition made in reliance upon exemption provided in Regulation 10(1)(g) of the Takeover Regulations by the Acquirer in the prescribed form in the matter of change in the shareholding of the Member of the Promoter Group of the Company.
