PARTNER COMMUNICATIONS ANNOUNCES EXTENSION OF 2018 SHELF PROSPECTUS

ROSH HA'AYIN, Israel, June 7, 2020 - Partner Communications Company Ltd. ("Partner" or "the Company") (NASDAQ and TASE: PTNR), a leading Israeli communications operator, announces that the Israeli Securities Authority extended the term of the Company's shelf prospectus filed on June 13, 2018 by 12 months, until June 12, 2021. At this stage, no decision has been made as to the execution of any offering, nor as to its scope, terms and timing, if executed, and there is no certainty that such offering will be executed.

Any offering of securities pursuant to the shelf prospectus, may be made only in Israel and only to residents of Israel. Any securities which may be offered under the said shelf prospectus, if offered, will not be offered or sold in the United States or to U.S. persons as defined in Regulation S under the US Securities Act of 1933, as amended (hereinafter "Securities Act"), except pursuant to an applicable exemption from registration under the Securities Act or as part of a transaction that is not subject to the said registration requirements.

פרטנר תקשורת מודיעה על הארכת תשקיף מדף מ2018-

ראש העין, ישראל, 7 ביוני, 2020 - חברת פרטנר תקשורת בע"מ )"פרטנר" או "החברה"( )NASDAQ ו-TASE: PTNR), מפעילת תקשורת מובילה בישראל, מודיעה כי הרשות לניירות ערך האריכה את תקופת תשקיף המדף של החברה, שהוגש ביום 13 ביוני ,2018 ב12- חודשים נוספים וזאת עד ליום 12 ביוני .2021 בשלב זה, לא נתקבלה כל החלטה לעניין ביצוע הצעה כלשהי וכן לא לגבי היקף, תנאים ותזמון של ההצעה, ככל שתוצע ואין כל ודאות שהצעה כזו תבוצע.

הצעת ניירות ערך לפי דוחות הצעת מדף שיפורסמו על פי תשקיף מדף זה, תעשה רק בישראל ורק לתושבים ישראליים. ניירות ערך שייכללו בדוחות הצעת המדף האמורים, ככל שיוצעו, לא יוצעו למכירה בארצות הברית או ל-Persons S.U כהגדרת מונח זה ב- S Regulation שהותקנו מכוח ה- US 1933 of Act Securities, כפי שתוקנו מעת לעת )להלן- "Act Securities)", למעט בהתאם לפטור מדרישות רישום לפי ה-Act Securities או במסגרת עסקה שאיננה כפופה לדרישות הרישום האמורות.
