PARTNER COMMUNICATIONS COMPANY ANNOUNCES S&P MAALOT RATING OF "ILAA-/STABLE" FOR SERIES B NOTES TO BE LISTED FOR TRADE ON THE TEL-AVIV STOCK EXCHANGE

ROSH HA'AYIN, Israel, May 23, 2010 - Partner Communications Company Ltd. ("Partner" or "the Company") (NASDAQ and TASE: PTNR), a leading Israeli communications operator, announced today that Standard & Poor's Maalot Ltd., an Israeli rating agency ("S&P Maalot") has assigned its "ilAA/Stable" rating to NIS 448,000,000 nominal value Series B Notes of the Company which the Company anticipates to list for trade on the Tel-Aviv Stock Exchange Ltd ("TASE").

The Series B Notes were issued to institutional investors in Israel during November 2009 in a private issuance and are currently listed on the "Retzef Mosadi'im" system of the TASE.

The Series B Notes were not registered under the U.S. Securities Act of 1933 , as amended (the "Securities Act"), and may not be offered or sold in the United States or to U.S. Persons (as defined in Regulation “S” of the Securities Act) without registration under the Securities Act or an applicable exemption from the registration requirements of the Securities Act.
