PARTNER COMMUNICATIONS ANNOUNCES THE RESULTS OF THE EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS AND CHANGES TO THE BOARD OF DIRECTORS

Rosh Ha'ayin, Israel, May 6, 2018 - Partner Communications Company Ltd. ("Partner" or the "Company") (NASDAQ and TASE: PTNR), a leading Israeli communications operator, announces the results of the Extraordinary General Meeting of Shareholders (the "EGM"), that was held today, at Partner's offices in Rosh Ha'ayin, Israel, and the departure of Dr. Michael J. Anghel, who served as an external director (Dahatz) of the Company.

The EGM resolution with respect to the item set forth in the Company's proxy statement dated March 14, 2018 sent in connection with the EGM (the "Proxy Statement"), was as follows:

To approve the appointment of Mr. Jonathan Kolodny as a new external director (Dahatz) and to approve his remuneration, insurance, indemnification and release.

The proposed resolution was approved by the required majority as detailed in the Proxy Statement.

In addition, the Company announces the departure of Dr. Michael Anghel, who served as an external director (Dahatz) of the Company for a period of 12 years.

Mr. Isaac Benbenisti, the Company's CEO noted: "The Company and its management thank Dr. Michael Anghel who, during 12 years of service as an external director in the Company, was a partner in leading the Company at the important junctions of its life."

פרטנר תקשורת מודיעה על תוצאותיה של האסיפה הכללית המיוחדת של בעלי המניות ועל שינויים בהרכב הדירקטוריון

ראש העין, ישראל, 6 במאי 2018 - חברת פרטנר תקשורת בע"מ )"פרטנר" או "החברה"( )NASDAQ ו-TASE: PTNR), מפעילת תקשורת מובילה בישראל, מודיעה על תוצאותיה של האסיפה הכללית המיוחדת של בעלי המניות )"האסיפה"( אשר התכנסה היום, במשרדי פרטנר בראש העין, ישראל וכן על סיום כהונתו של דר' מיכאל אנגל כדירקטור חיצוני בחברה.

החלטת האסיפה ביחס לנושא המפורט במסמך הזימון לאסיפה של החברה מיום 14 במרץ ,2018 אשר נשלח בקשר לאסיפה )"מסמך הזימון לאסיפה"(, הייתה כדלהלן:

אישור מינויו של מר יונתן קולודני כדירקטור חיצוני של החברה )דח"צ(, אישור הגמול המשולם לו ואישור כי הוא זכאי ליהנות מפוליסת ביטוח נושאי המשרה של החברה, משיפוי ומפטור.

ההחלטה המוצעת אושרה ברוב הנדרש כמפורט במסמך הזימון לאסיפה.

כמו כן, החברה מודיעה על פרישתו של דר' מיכאל אנגל אשר כיהן כדירקטור חיצוני בחברה, במשך תקופה של 12 שנים.

מר איציק בנבנישתי, מנכ"ל החברה, ציין: "החברה והנהלתה מודים לדר' מיכאל אנגל, אשר במשך 12 שנות כהונתו כדירקטור חיצוני בחברה, היה שותף להובלת החברה בצמתים החשובים בחייה".

מר אדם צ'זנוף, יו"ר הדירקטוריון, ציין: "דירקטוריון החברה מוקיר תודה עמוקה לדר' מיכאל אנגל, על כהונתו רבת השנים ותרומתו לעשיית החברה ולהצלחותיה. אנו שמחים על הצטרפותו של מר יונתן קולודני לדירקטוריון פרטנר, בתקופה חשובה זו בהתפתחות החברה. ניסיונו הנרחב ישמש כנכס בעל ערך רב, בעת שפרטנר מתקדמת לקראת הגשמת יעדיה האסטרטגיים בשוק התקשורת".
