AFEP MEDEF recommendations concerning the compensation of executive directors of listed companies

As stated in the press release issued on December 18th 2008, the President submitted the AFEP-MEDEF recommendations dated October 6, 2008 concerning the compensation of corporate officers of listed companies to the Nomination and Remuneration Committee which met on 12 February.

After review, the Nomination and Remuneration Committee approved the AFEP-MEDEF recommendations and issued a favorable opinion on the compliance of Parrot to these recommendations.

The President had already expressed support for the AFEP-MEDEF recommendations and stated they were part of the corporate governance code of the Company.

A summary of these recommendations was presented to the Board of directors of Parrot. The Board notes that the Company already complies with these recommendations. The Board confirmed the corporate governance code, as described by AFEP MEDEF, will become the Group reference in order to publish the report pursuant to article L.225-37 of the French code de commerce effective for fiscal 2008, in compliance with the French act dated July 3, 2008, which is the national transposition of European Directive 2006/46/CE dated June 14, 2006.
