Subject: Outcome of the board meeting under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("LODR Regulations"), as amended.

1. Composite scheme of arrangement entered into by and amongst Mangalore Chemicals & Fertilizers Limited, Paradeep Phosphates Limited and their respective shareholders and creditors.

2. Our previous disclosures under Regulation 30 of the LODR Regulations dated September 26, 2025, April 28, 2025, February 27, 2025 and November 25, 2024.

Dear Sir/Madam,

We hereby inform you that the board of directors of the Company at its meeting held today, i.e., 8[th ] October, 2025, has, inter a/ia, taken cin record the order of the Hon'ble National Company Law Tribunal, Cuttack Bench, dated 26[th ] September 2025, sanctioning the composite scheme of arrangement amongst Mangalore Chemicals & Fertilizers Limited ("Transferor Company"), the Company and their respective shareholders and creditors.

As mentioned previously in our disclosure dated September 26, 2025, the Scheme shall become effective in accordance with its terms on and from the date on which (a) the Company files the certified copy of the aforesaid sanction order passed by National Company Law Tribunal, Cuttack Bench (as received by the Company) and the certified copy of the sanction order passed by the National Company Law Tribunal, Bengaluru Bench (as received by the Transferor Company), with the Registrar of Companies, Cuttack; and (b) the Transferor Company files the certified copy of the aforesaid sanction order passed by National Company Law Tribunal, Cuttack Bench (as received by the Company) and the certified copy of the sanction order passed by the National Company Law Tribunal, Bengaluru Bench (as received by the Transferor Company), with the Registrar of Companies, Bengaluru.
