Cancellation of Share Premium Account
In the IPO prospectus published by Pantheon Infrastructure PLC (the "Company") on 13 October 2021, the Company stated its intention to cancel amounts standing to the credit of its share premium account following IPO admission. The Company is pleased to announce that all steps required for the cancellation of its £387,284,000 share premium account in order to create a special reserve have now been completed.
The final Court hearing was held on 24 May 2022 and an order was pronounced by the Court (the "Order") confirming the cancellation of that part of the Company's share capital, as approved by written resolution of the then sole member of the Company on 12 October 2021. The Order has now been registered at Companies House together with a statement of capital approved by the Court.
The Company confirms that following the capital reduction the issued share capital of the Company remains at £4,800,000 divided into 400,000,000 Ordinary shares of £0.01 each and 80,000,000 Subscription shares of £0.01 each. There are no shares held in treasury.
