02.06.2025 tarihli yönetim kurulu kararımız ile başlatılan ve kamuya duyurulan hisse geri alım programımız kapsamında, şirketimizin paylarının Borsa'dan geri alınmasına ilişkin işlemler programda belirtilen sürenin dolması üzerine sona ermiş bulunmaktadır. Program çerçevesinde yapılan geri alıma esas tutarlar 2.000.000 adet nominal pay ve 80.000.000 TL. olarak bildirilmiş olmakla beraber (II-22.1) Sayılı GERİ ALINAN PAYLAR TEBLİĞİ'nin Geri Alınan Paylara İlişkin İşlem Sınırları başlıklı 9.Maddesi'nin 3.Bendi'nde öngörülen "geri alınan payların toplam bedeli, Kurul düzenlemeleri çerçevesinde kâr dağıtımına konu edilebilecek kaynakların toplam tutarını aşamaz" hükmü gereğince ve sözkonusu dağıtılabilir kâr tutarı 50.081.007,30 TL. olduğundan program çerçevesinde yapılan alım tutarı ile hedefe ulaşıldığı kanaatine varılmıştır. Bu cümleden olarak 03.12.2025 tarihli Yönetim Kurulu kararı ile, geri alım programının yapılacak ilk genel kurul toplantısında gündeme alınarak pay sahiplerinin bilgisine sunulmasına toplantıda hazır bulunan üyelerin oy birliğiyle karar verilmiştir.
03.06.2025 tarihinde başlatılan program kapsamında bugüne kadar toplam 1.120.876 adet pay geri alınmış olup ortalama alım fiyatı 38,16 TL, toplam işlem tutarı ise 42.774.787,67 TL olarak (aracı kurum komisyonu, BSMV ve KKDF dahil) gerçekleşmiştir. Geri alınan 1.120.876 adet payın şirketin sermayesine ( 75.000.000 TL) oranı %1,4945'dir.
Bu karar, Sermaye Piyasası Kurulu'nun Geri Alınan Paylar Tebliği (II-22.1) kapsamında alınmış olup, kamuoyunun bilgisine sunulur.
